Terms and Conditions

1. Acceptance of Terms
By downloading, accessing, registering for, or using the ClubLINC application and related services ("App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and LINC Studios Inc. ("LINC Studios", "we", "us", or "our"), a company incorporated under the laws of British Columbia, Canada, with its principal place of business in Burnaby, British Columbia, Canada.

2. Eligibility
You must be at least 13 years of age to use the App. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you confirm that you have obtained the consent of a parent or legal guardian. Additional age, consent, or eligibility requirements may apply where required by applicable law or for specific programs, competitions, organizations, or partner environments.

3. Account Registration and Preferences
To access certain features of the App, you must create an account. Depending on the version of the App and the features available to you, registration and profile information may include a valid email address, a username of your choice (which may be a pseudonym or fantasy name), and selections or preferences relating to clubs, leagues, teams, sports, competitions, or other organizations.

You are responsible for maintaining the confidentiality of your account credentials and for activity that occurs under your account. You agree to notify us at connect@linc.studio if you become aware of unauthorized use of your account. You may not use another person's account without permission. We may suspend or terminate accounts that violate these Terms. You may delete your account at any time directly within the App via Settings > Account > Delete Account.

4. Fan Engagement Features and Participation
ClubLINC may provide interactive fan features before, during, and after sporting events, including feeds, predictions, polls, challenges, missions, reactions, comments, live or second-screen experiences, community features, leaderboards, rewards, sponsored activations, and other participation formats.

Availability of features may vary by club, league, competition, geography, partner, event, or App version. Unless expressly stated otherwise, predictions, polls, challenges, points, rankings, virtual rewards, or similar features are intended for entertainment and fan engagement only and do not constitute gambling, wagering, financial advice, or a promise of monetary value.

Where a promotion, contest, reward, voucher, or partner offer is subject to additional rules or eligibility requirements, those additional terms will apply.

5. User-Generated Content
5.1 Your Content
The App may allow you to upload, create, post, or share photos, short videos, text, posts, comments, reactions, poll responses, predictions, and other content or contributions ("User Content"). You retain ownership of your User Content.

By submitting User Content, you grant LINC Studios a non-exclusive, worldwide, royalty-free, sublicensable licence to host, store, reproduce, display, distribute, transmit, adapt as technically necessary, and otherwise use that User Content for the purpose of operating, providing, moderating, promoting, securing, and improving the App and its features. This licence does not transfer ownership of your User Content to LINC Studios.

You represent that you have the rights and permissions necessary to submit your User Content and to grant the licence described above.

5.2 Content Standards
Is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise seriously harmful to the community.
Infringes intellectual property, privacy, publicity, or other rights of any third party.
Contains nudity, graphic violence, or sexually explicit material.
Promotes discrimination, hatred, or violence based on protected characteristics.
Constitutes spam, unauthorized commercial solicitation, or unauthorized advertising.
Manipulates, disrupts, or abuses participation features, rewards, rankings, or other App functionality.
Violates any applicable law or regulation.
5.3 Moderation
We may review, restrict, remove, or disable access to User Content that violates these Terms or that we reasonably determine may harm users, partners, the App, or the community. Users may report content they believe violates these Terms. Repeated or serious violations may result in account suspension or termination.

6. Prohibited Conduct
Use the App for any unlawful purpose.
Attempt to gain unauthorized access to any part of the App, another user's account, or its infrastructure.
Scrape, crawl, harvest, or extract data from the App by automated means except where expressly permitted.
Impersonate any person, club, league, athlete, sponsor, organization, or other entity.
Interfere with or disrupt the integrity, security, or performance of the App.
Upload malware, viruses, or other harmful code.
Harass, bully, threaten, or harm other users.
Fraudulently manipulate predictions, polls, challenges, missions, rewards, leaderboards, engagement metrics, or sponsored activations.

7. Club, League, Partner and Sponsored Content
The App may display content, names, logos, trademarks, offers, links, vouchers, promotions, or other materials supplied or authorized by clubs, leagues, teams, athletes, sponsors, commercial partners, or other third parties. Rights in those materials remain with their respective owners or licensors. Their appearance in ClubLINC does not transfer ownership to you.

Sponsored or partner-supported activities may be identified within the App. Any purchase, redemption, ticketing, merchandise, livestream, or other transaction completed through an external destination is subject to the terms and privacy practices of the relevant third party.

8. Intellectual Property
The App and its original content, software, design, features, functionality, and LINC-created materials, excluding User Content and third-party or partner materials, are and will remain the property of LINC Studios Inc. or its licensors. The ClubLINC name, logo, and related brand assets are proprietary to LINC Studios Inc. to the extent protected by applicable intellectual property law.

You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of the App except with our written permission or where applicable law expressly permits it.

9. Third-Party Services, Links and Integrations
The App may rely on or link to third-party services, including hosting, authentication, analytics, notifications, media, ticketing, merchandise, livestreaming, sponsor destinations, and other partner services. We do not control third-party websites or services and are not responsible for their independent content, availability, terms, or privacy practices.

10. Disclaimers
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT, MATCH INFORMATION, USER CONTENT, PREDICTIONS, POLLS, RESULTS, REWARDS, OR THIRD-PARTY INFORMATION WILL ALWAYS BE ACCURATE, COMPLETE, OR AVAILABLE.

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LINC STUDIOS INC. SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE APP. In jurisdictions that do not allow certain exclusions or limitations, our liability will be limited to the maximum extent permitted by law.

12. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LINC Studios Inc. and its officers, directors, employees, and agents from claims, liabilities, damages, losses, and reasonable legal expenses arising from your misuse of the App, your User Content, your infringement of third-party rights, or your violation of these Terms.

13. Suspension and Termination
We may suspend or terminate your account or access to the App where reasonably necessary, including for violation of these Terms, misuse, fraud, security risks, legal requirements, or harm to users or partners. Upon termination, your right to use the App will cease. Provisions that by their nature should survive termination, including ownership, licences already necessary to operate previously shared content, disclaimers, indemnity, and limitations of liability, will survive as applicable.

14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms should first be addressed through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to the courts of British Columbia, Canada, subject to any mandatory rights or jurisdiction available to consumers under applicable law. For users located in the European Union, nothing in these Terms limits mandatory consumer protection rights applicable in the user's country of residence.

15. Apple App Store Additional Terms
The following additional terms apply only if you downloaded the App from the Apple App Store and only to the extent applicable to iOS versions of the App. In the event of any conflict between this Section and any other provision of these Terms, this Section shall control solely with respect to App Store users.

This agreement is between you and LINC Studios only, and not with Apple Inc. ("Apple"). Apple is not responsible for the App or its content.
The App is licensed to you on a limited, non-transferable, non-exclusive basis to use on any Apple-branded product that you own or control, as permitted by the App Store's Usage Rules.
LINC Studios, not Apple, is solely responsible for the App and its content, and for providing any maintenance and support services with respect to the App, to the extent required under applicable law.
In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you, if any. To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be LINC Studios' sole responsibility.
LINC Studios, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession or use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
In the event of any third-party claim that the App, or your possession and use of the App, infringes that third party's intellectual property rights, LINC Studios, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
You must comply with applicable third-party terms of agreement when using the App, for example, your wireless data service agreement.
Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary of these Terms.

16. Changes to These Terms
We may update these Terms from time to time. We will indicate material changes by updating the Effective Date and, where feasible or legally required, by providing notice in the App or through another appropriate channel. Where applicable law requires consent to a material change, we will obtain it. The current version of these Terms is always available at https://linc.studio/terms.
